Terms of Service

By accessing and using the TruEXP platform ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this Service. TruEXP ("Company," "we," "us," or "our") operates the TruEXP platform, which provides event management, ticketing, and fan engagement services. These Terms of Service ("Terms") govern your access to and use of our Service.

Permission is granted to temporarily access the materials on TruEXP's platform for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not: • Modify or copy the materials • Use the materials for any commercial purpose, or for any public display (commercial or non-commercial) • Attempt to decompile or reverse engineer any software contained on TruEXP's platform • Remove any copyright or other proprietary notations from the materials • Transfer the materials to another person or "mirror" the materials on any other server This license shall automatically terminate if you violate any of these restrictions and may be terminated by TruEXP at any time. Upon terminating your viewing of these materials or upon the termination of this license, you must destroy any downloaded materials in your possession whether in electronic or printed format.

To access certain features of the Service, you must register for an account. When you register, you agree to: • Provide accurate, current, and complete information • Maintain and promptly update your account information • Maintain the security of your account credentials • Accept all responsibility for all activities that occur under your account • Immediately notify us of any unauthorized use of your account **Authentication and Password Security:** TruEXP uses Auth0 (by Okta), a third-party authentication service, to manage user login and authentication. Your passwords and authentication credentials are securely managed by Auth0 and are never stored or accessible by TruEXP. By using our Service, you agree to Auth0's terms of service and privacy policy. Auth0 is a SOC 2 Type II certified provider specializing in secure identity management. You are responsible for maintaining the confidentiality of your account credentials. You may not use another person's account without permission. We reserve the right to refuse service, terminate accounts, or remove or edit content in our sole discretion.

If you register as a business user, you represent and warrant that: • You have the legal authority to bind the business entity you represent • You will comply with all applicable laws and regulations in your use of the Service • All information you provide about your business, events, and tickets is accurate and not misleading • You have the right to sell tickets to any events you list on the platform • You will honor all ticket sales and event commitments made through the platform Business users are responsible for setting accurate event information, pricing, capacity limits, and other event details. TruEXP is not responsible for the accuracy of business-provided information or the quality of events.

TruEXP facilitates event registration and RSVP management for events organized through the platform. When you register for or RSVP to an event: • Registration is subject to availability and event capacity limits • Event organizers may cancel or modify events at their discretion • We reserve the right to cancel registrations for suspected fraudulent activity or violations of these Terms • You agree to provide accurate contact information for event communication Event organizers are responsible for event details, capacity management, and any event-specific policies. TruEXP acts as a platform facilitator and is not responsible for event quality, cancellations, or modifications.

TruEXP may introduce payment processing, ticketing, and other transactional features in the future. When such features become available: • Additional terms specific to those features will be provided • You will be notified of new terms before using such features • Third-party payment processors may be integrated, and their terms will apply • Service fees and pricing structures will be clearly disclosed This section is reserved for future payment-related terms and does not apply to current Service functionality.

You agree not to engage in any of the following prohibited activities: • Violating laws, regulations, or third-party rights • Using the Service for fraudulent or illegal purposes • Interfering with or disrupting the Service or servers • Attempting to gain unauthorized access to the Service • Impersonating another person or entity • Transmitting viruses, malware, or other harmful code • Scraping, harvesting, or collecting user data without permission • Using automated systems or bots to access the Service • Reselling tickets for prices exceeding face value where prohibited by law • Posting false, misleading, or defamatory content • Harassing, threatening, or abusing other users TruEXP reserves the right to investigate and take appropriate legal action against anyone who violates this provision.

The Service and its original content, features, and functionality are owned by TruEXP and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of TruEXP. You retain ownership of content you upload to the Service, but grant TruEXP a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content for the purpose of operating and providing the Service.

TruEXP reserves the right, but not the obligation, to monitor, review, and remove user content that violates these Terms or is otherwise objectionable. We may, in our sole discretion: • Remove or refuse to display content • Suspend or terminate user accounts • Report suspected illegal activity to law enforcement • Cooperate with law enforcement investigations You acknowledge that TruEXP does not pre-screen content and that you use the Service at your own risk.

For California residents: • You have the right to request information about data we collect (see Privacy Policy) • You may opt-out of the sale of personal information • California Civil Code Section 1789.3 provides that California users are entitled to the following specific consumer rights notice: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (916) 445-1254 or (800) 952-5210 Under California Civil Code Section 1789.3, TruEXP's contact information is provided in Section 17 below.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TRUEXP MAKES NO WARRANTIES, EXPRESSED OR IMPLIED, AND HEREBY DISCLAIMS ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. TruEXP does not warrant that: • The Service will be uninterrupted, timely, secure, or error-free • The results obtained from using the Service will be accurate or reliable • The quality of any products, services, information, or other material obtained through the Service will meet your expectations • Any errors in the Service will be corrected TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUEXP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential or incidental damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

You agree to defend, indemnify, and hold harmless TruEXP and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: • Your violation of these Terms • Your use of the Service • Your violation of any rights of another party • Your content or conduct on the Service • Any events you organize or tickets you sell through the Service

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability. If you wish to terminate your account, you may discontinue using the Service and contact us to request account deletion.

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall be conducted in California, and judgment on the arbitration award may be entered in any court having jurisdiction. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If you are a California resident, you may have the right to opt out of arbitration. To opt out, you must notify us in writing within 30 days of first accepting these Terms. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions will remain in effect.

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service.

These Terms, together with our Privacy Policy and any other legal notices published by TruEXP on the Service, constitute the entire agreement between you and TruEXP concerning the Service and supersede all prior agreements and understandings regarding the same.
